Startup Terms of Service

These LiveKit Startup Program Terms of Service ("Program Terms") apply to your participation in the LiveKit Startup Program (the "Program") and form a binding agreement between you and LiveKit Incorporated ("LiveKit," "we," or "us").

By applying to or participating in the Program, you agree to these Program Terms. You represent that you are authorized to accept these Program Terms on behalf of your company.

1. Eligibility and Participation#

The Program is generally intended for early-stage companies building products where realtime voice, video, or AI is a core part of the product experience. The Program is intended to support net-new startup projects. Applicants may have an existing LiveKit Cloud account for evaluation or development purposes, but LiveKit may decline applications for projects that have already been operating on LiveKit for an extended period or that are existing paying or contractually committed LiveKit customers.

Acceptance into the Program, continued participation, and the amount and type of benefits provided are determined by LiveKit in its sole discretion. In evaluating applications, LiveKit may consider factors including company stage, funding, team size, product status, intended use case, historical LiveKit project usage, and other relevant factors.

You agree to provide complete and accurate information in your application, including information about your company, product, funding, team, and intended use of LiveKit.

2. Program Benefits and Credits#

If accepted into the Program, you may receive LiveKit Cloud credits, plan benefits, and/or credits for eligible partner services made available through LiveKit, including through LiveKit Inference ("Program Credits").

All Program Credits:

• Are issued at LiveKit's discretion, including amount, timing, eligibility, and availability.
• Are promotional credits only and have no cash value.
• Are non-transferable, non-refundable, non-sellable, and may not be shared, gifted, assigned, or redeemed for cash.
• Are tied to your company account or project, not to an individual user.
• May be used only for your own product development and operation, not for competitor research, benchmarking, resale, or abuse.
• May only be used for eligible LiveKit or partner services made available through the Program.
• Expire twelve (12) months from issuance unless otherwise stated by LiveKit in writing.
• May not be combined with other LiveKit promotional credit programs for the same usage unless LiveKit approves otherwise.

Usage will be deducted from your available Program Credit balance based on LiveKit's then-current pricing or the applicable pricing made available through the Program. Once Program Credits are exhausted or expired, continued usage may require a paid LiveKit plan or other applicable commercial arrangement.

Program Credits, if any, are provisioned and administered by LiveKit unless otherwise stated. Participating partners are not required to provide services or credits directly to you outside of the Program.

3. Use of Your Name and Logo#

You grant LiveKit and participating Program partners a non-exclusive, worldwide, royalty-free license to use your company name, website, logo, and marks solely to identify you as a Program participant in marketing and promotional materials, including websites, social media, presentations, emails, and related materials.

4. Data and Reporting#

LiveKit may use information and usage data related to your participation in the Program to operate the Program, provide support, administer credits, prevent abuse, and improve LiveKit products and services.

Where Program Credits are used, LiveKit may share relevant usage information with the applicable partner as reasonably necessary to administer the Program, verify usage, attribute credit consumption, and report Program performance. LiveKit will handle personal data as described in the LiveKit Privacy Policy.

5. Program Changes and Termination#

LiveKit may change, suspend, or terminate the Program, or your participation in it, at any time in its discretion.

LiveKit may suspend or terminate your participation, remove benefits, or revoke unused Program Credits if you violate these Program Terms, the LiveKit Terms of Service Agreement (Build, Ship, Scale Plans) (the "TOS"), applicable usage policies, or applicable law; provide inaccurate or misleading information; pose a security, operational, legal, or reputational risk; or engage in fraudulent, abusive, or improper conduct.

Unused Program Credits may be forfeited upon suspension, termination, expiration, or removal from the Program.

6. Miscellaneous#

Neither party is an agent of the other or has authority to bind the other. These Program Terms supplement the TOS. If there is a conflict between these Program Terms and the TOS with respect to the Program, these Program Terms control for the Program only.

LiveKit may update these Program Terms at any time by posting a revised version or providing notice.
